Software Level Agreement

PLEASE READ THIS SOFTWARE LICENSE AGREEMENT CAREFULLY BEFORE COPYING, DOWNLOADING OR USING THE SOFTWARE.

BY CHECKING ON THE BUTTON, OPENING THE PACKAGE, DOWNLOADING THE SOFTWARE, OR USING THE EQUIPMENT THAT CONTAINS THIS SOFTWARE, YOU ARE CONSENTING TO BE BOUND BY THIS AGREEMENT. IF YOU DO NOT AGREE TO ALL OF THE TERMS OF THIS AGREEMENT, DO NOT CHECK THE BUTTON AND THE INSTALLATION PROCESS WILL NOT CONTINUE.

  1. LICENSE GRANT.
    The Advanced Card Systems Ltd. (ACS) grants you a non-exclusive license to use the software. This Agreement will also govern any software upgrades provided by ACS that replace and/or supplement the original software, unless such upgrades are accompanied by a separate license, in which case the terms of that license will govern.

  2. TERMINATION.
    If you breach this Agreement, the licenses granted to you under this Agreement will terminate immediately and without notice, but all provisions of this Agreement, but all provisions of this Agreement will survive termination and continue in effect. Upon termination, you must destroy all copies of the software.

  3. Copyright and Trademark
    All right, title and interest, including, but not limited to, copyrights, in and to the Software and any copies thereof, are owned by ACS. All title and intellectual property rights in and to the content which may be accessed through use of the software is the property of the respective content owner and may be protected by applicable copyright or other intellectual property laws and treaties. This ACS grants you no rights to use such content. You acknowledge that all copyrights in the Software Program and the goodwill associated therewith are vested in and belong to ACS.

  4. LIMITATION OF LIABILITY.
    EXCEPT AS REQUIRED BY LAW, ACS AND ITS DISTRIBUTORS, DIRECTORS, LICENSORS, CONTRIBUTORS AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES ARISING OUT OF OR IN ANY WAY RELATING TO THIS AGREEMENT OR THE USE OF OR INABILITY TO USE THE SOFTWARE, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF GOODWILL, WORK STOPPAGE, LOST PROFITS, LOSS OF DATA, AND COMPUTER FAILURE OR MALFUNCTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND REGARDLESS OF THE THEORY (CONTRACT, TORT OR OTHERWISE) UPON WHICH SUCH CLAIM IS BASED. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL, CONSEQUENTIAL OR SPECIAL DAMAGES, SO THIS EXCLUSION AND LIMITATION MAY NOT APPLY TO YOU.
